1. GENERAL PROVISIONS
1.1. This document constitutes an official Public Offer made by LIMITED LIABILITY COMPANY "Abitly" (hereinafter — the Seller) to any legally capable natural person using the abitly.org website (hereinafter — the Buyer) to enter into a paid agreement for the provision of access to Digital Content on the terms set out below (hereinafter — the Offer or the Agreement).
1.2. The legal basis of this Offer consists of Articles 633, 634, 641, 642, 644 of the Civil Code of Ukraine; Articles 11, 12 of the Law of Ukraine "On Electronic Commerce" No. 675-VIII of 03.09.2015; the Law of Ukraine "On Consumer Rights Protection"; and the Law of Ukraine "On Digital Content and Digital Services" No. 3321-IX of 10.08.2023.
1.3. Acceptance of the Offer (full and unconditional acceptance of its terms) consists of the following actions of the Buyer:
- clicking the "Buy" button on the /materials or /materials/bundles pages of the Website;
- successfully paying the price of the selected Digital Content via the monobank payment service;
- receiving access to the Digital Content.
1.4. The Agreement is deemed concluded at the moment the funds are received by the Seller following the Buyer's payment. From that moment on, the Agreement is deemed concluded in written form (Part 12 of Article 11 of the Law of Ukraine "On Electronic Commerce").
1.5. This Offer, together with the Terms and Conditions of Use of abitly.org and the "ABITLY" Privacy Policy, collectively constitute the full agreement between the Seller and the Buyer. With respect to the purchase of Digital Content, the terms of this Offer shall prevail.
1.6. The Seller has the right to unilaterally amend the terms of this Offer by publishing a new revision on the Website. The new revision applies solely to agreements concluded after its publication. Agreements concluded earlier remain governed by the revision in effect at the time of their conclusion.
2. DEFINITIONS
"Website" — the internet resource at the domain abitly.org, together with all its subdomains and pages.
"Seller" — Limited Liability Company "Abitly", EDRPOU code 45661504, with the details provided in Section 13 of this Offer.
"Buyer" — a legally capable natural person who has accepted this Offer in the manner set out in clause 1.3.
"Digital Content" — electronic PDF-format learning materials for self-preparation for the Ukrainian National Multi-Subject Test (NMT), including theory, tests, exam breakdowns and cheat-sheets in the subjects of Mathematics, Ukrainian Language, History of Ukraine and English Language, as well as bundles of such materials. The current list of Digital Content with titles, descriptions, page counts and prices is published at https://abitly.org/en/materials and https://abitly.org/en/materials/bundles.
"Order" — the Buyer's expression of intent to purchase a specific item of Digital Content, identified by a unique number (orderId).
"Personal Account" — the "My Materials" section of the Website, accessed after the Buyer is authenticated via a Google account.
3. SUBJECT OF THE AGREEMENT
3.1. Under this Agreement, the Seller grants the Buyer permanent paid access to the selected Digital Content, and the Buyer undertakes to pay its price on the terms set out in this Offer.
3.2. The current list of Digital Content and its price in Ukrainian hryvnia (₴, UAH), inclusive of all applicable taxes, along with all product characteristics (subject, scope, page count, author, update date), is published at https://abitly.org/en/materials (individual materials) and https://abitly.org/en/materials/bundles (material bundles). Such list and prices form an integral part of this Offer.
3.3. The price of the Digital Content is denominated exclusively in the national currency of Ukraine — Ukrainian hryvnia (₴). VAT is not included in the price, as the Seller is not a VAT payer.
3.4. No delivery cost applies, as Digital Content is delivered to the Buyer exclusively in electronic form by providing access to the PDF file.
3.5. The Seller does not sell Digital Content to minors. By entering into the Agreement, the Buyer confirms that they are a legally capable adult or are acting with the consent of their legal representatives.
4. PAYMENT TERMS
4.1. The Order is paid by non-cash transfer in Ukrainian hryvnia through the monobank payment service (hosted checkout) using a bank card issued by any Ukrainian bank.
4.2. The Seller does not store the Buyer's payment card details. Card data is entered, processed and protected exclusively by the payment processor (JSC "UNIVERSAL BANK" / monobank) in accordance with the PCI DSS security standard.
4.3. The moment of payment is deemed to be the moment the funds are actually credited to the Seller's account, as confirmed by the payment service.
4.4. Confirmation of the payment is the electronic fiscal receipt sent by the monobank payment service to the Buyer's email address.
4.5. In the event of a technical payment error or a duplicate charge, the Buyer must contact the Seller at info@abitly.org with the subject "Payment error". Erroneous amounts will be returned within 14 calendar days.
5. PROVISION OF ACCESS TO DIGITAL CONTENT
5.1. Access to the purchased Digital Content is provided to the Buyer immediately after the funds are credited to the Seller's account — automatically, without any additional action by the Buyer.
5.2. Access is provided by:
- adding the Digital Content to the Buyer's Personal Account in the "My Materials" section;
- enabling online viewing of the Digital Content via the built-in PDF viewer of the Website;
- enabling download of the PDF file onto the Buyer's device.
5.3. Access to the purchased Digital Content is permanent: the Buyer retains the right to view and download the file without restriction as to the number of downloads or the duration of use, for as long as the Website and the Buyer's Personal Account exist.
5.4. The Buyer is required to have the technical means to receive and view the Digital Content: a device with internet access, a web browser, and PDF-reader software.
5.5. The Seller is not liable for the Buyer's inability to access the Digital Content due to reasons outside the Seller's control (absence of the Buyer's internet connection, issues on the Buyer's side, email blocking, etc.).
6. INTELLECTUAL PROPERTY RIGHTS
6.1. Exclusive intellectual property rights in the Digital Content, including texts, illustrations, layout and structure, belong to the Seller or its licensors.
6.2. Under this Agreement, the Buyer receives a non-exclusive, non-transferable, personal licence to use the Digital Content solely for personal, non-commercial purposes — familiarisation and preparation for the NMT.
6.3. The Buyer is strictly prohibited from:
- copying the Digital Content, in whole or in part, for the purpose of further distribution;
- publishing the Digital Content in public resources (including social networks, messengers, file-sharing services, Telegram channels);
- selling, transferring, gifting or exchanging the Digital Content with third parties;
- using the Digital Content to provide paid tutoring, teaching or exam preparation services to other persons.
6.4. Breach of clause 6.3 constitutes a material breach of the Agreement. The Seller has the right to block the Buyer's access to the Personal Account without refunding the paid amount, and to claim compensation for damages through a court of law in accordance with Ukrainian intellectual property law.
7. QUALITY OF DIGITAL CONTENT AND LIABILITY
7.1. The Seller warrants that, at the moment of purchase, the Digital Content conforms to the description published on the relevant product page of the Website.
7.2. The Seller does not warrant that the Buyer will achieve any particular educational or assessment result (including a specific NMT score) as a result of using the Digital Content. The educational outcome depends on the Buyer's personal effort, regularity of preparation and other individual factors.
7.3. The Seller is liable for any non-conformity of the Digital Content only to the extent provided in clause 8 of this Offer and in the applicable laws of Ukraine.
7.4. The Seller is not liable for indirect damages, lost profits or any consequences that do not have a direct causal link to the culpable actions of the Seller.
8. REFUNDS AND WITHDRAWAL FROM THE AGREEMENT
8.1. EXPRESS CONSENT TO IMMEDIATE SUPPLY OF DIGITAL CONTENT. By accepting this Offer, the Buyer expressly and unambiguously:
- gives their express prior consent to the immediate supply (performance) of the Digital Content from the moment the funds are credited;
- acknowledges and confirms that from the moment access to the Digital Content is granted, the Buyer loses the right to withdraw from this Agreement and the right to a refund, pursuant to Part 2 of Article 13 of the Law of Ukraine "On Consumer Rights Protection" and Article 14 of the Law of Ukraine "On Digital Content and Digital Services" No. 3321-IX.
8.2. Grounds for refund. A refund of the amount paid for Digital Content is possible only in the following cases:
- the PDF file of the Digital Content is corrupted, does not open or is not displayed correctly, and the Seller has not remedied such non-conformity within 7 (seven) calendar days of receiving the Buyer's corresponding request;
- Digital Content other than that ordered has been provided to the Buyer (the wrong item has been delivered);
- other cases provided for by applicable Ukrainian law.
8.3. Refund request procedure. A refund request is sent by the Buyer to info@abitly.org with the subject "Refund request". The request must include:
- the surname, first name and email address used for the purchase;
- the approximate date and time of payment;
- the order number (orderId), which is included in the monobank receipt and the confirmation email;
- a description of the issue, specifying the exact non-conformity.
8.4. Review and refund period. The Seller reviews the refund request within 14 (fourteen) calendar days from the date of receipt. If the request is granted, the funds are returned to the same bank card used for the payment within 14 (fourteen) calendar days from the date of the decision.
8.5. Where the Digital Content contains a minor non-conformity that can be remedied (e.g. a typographical error), the Seller may, instead of issuing a refund, provide an updated version of the Digital Content. Such update does not deprive the Buyer of the right to request a refund if the update fails to remedy the non-conformity.
9. PROCESSING OF PERSONAL DATA
9.1. The Buyer's personal data is processed by the Seller during the performance of this Agreement in accordance with the requirements of the Law of Ukraine "On Personal Data Protection" and on the terms of the "ABITLY" Privacy Policy published at https://abitly.org/privacy.
9.2. For the purposes of performing the Agreement, the Seller processes the following categories of personal data of the Buyer: first and last name (received via Google OAuth), email address, order and payment history, technical device identifiers (the abitly_aid cookie).
9.3. By accepting this Offer, the Buyer consents to the processing of their personal data by the Seller in the scope and on the terms set out in the "ABITLY" Privacy Policy.
10. FORCE MAJEURE
10.1. The Parties are released from liability for partial or complete failure to perform their obligations under this Agreement where such failure is caused by force majeure circumstances, namely: military actions, terrorist acts, introduction of martial law or a state of emergency, epidemics, natural disasters, acts of public authorities (including sanctions, prohibitions, restrictions on payment systems), mass failures of the internet or payment-processor services, hacker attacks, etc.
10.2. The existence of force majeure circumstances is confirmed by a certificate of the Ukrainian Chamber of Commerce and Industry or other authorised bodies.
11. DISPUTE RESOLUTION
11.1. All disputes arising between the Parties in connection with the performance of this Agreement shall be settled through negotiations.
11.2. If a dispute cannot be resolved through negotiations, it shall be referred to a court having jurisdiction under the Civil Procedure Code of Ukraine.
11.3. This Agreement and the legal relations arising from it are governed by the substantive law of Ukraine.
12. TERM OF THE OFFER AND THE AGREEMENT
12.1. The Offer enters into force upon its publication on the Website and remains in force for an unlimited period until withdrawn by the Seller.
12.2. An Agreement concluded by acceptance of the Offer remains in force until the Parties have fully performed their obligations under it and, with respect to access to the Digital Content, for an unlimited period.
12.3. Withdrawal of the Offer or publication of a new revision shall not terminate Agreements already concluded.
